File Confidentiality Terms
These File Confidentiality Terms (the “Terms”) govern how NEXIOT PTE. LTD. (“NexPCB,” “we,” or “us”) receives and handles engineering files submitted through the PCBA Cost Estimate tool (the “Service”). The Service is offered for business and professional use only.
1. Acceptance and authority
By checking the acceptance box and submitting files, the person submitting them (“Customer,” “you,” or “your”) agrees to these Terms on behalf of the business that owns or controls the files. You represent that you have authority to bind that business and to provide the files for the uses described below. If you do not have that authority or do not accept these Terms, do not upload files.
2. Customer Files
“Customer Files” means the non-public Gerber, drill, BOM, Pick and Place, stackup, fabrication, manufacturing-instruction, schematic, drawing, archive, and related technical content that you upload, together with analysis outputs that reveal that content. Customer Files are treated as confidential without requiring a confidentiality legend.
Customer Files do not include information that NexPCB can demonstrate: (a) was lawfully known without a confidentiality duty before receipt; (b) becomes public without breach of these Terms; (c) is received lawfully from another source without a confidentiality duty; or (d) is independently developed without using Customer Files.
3. NexPCB confidentiality commitments
NexPCB will use Customer Files only for the permitted purpose below; protect them using reasonable administrative, technical, and organizational safeguards; limit access to personnel and service providers with a need to know; and not sell, publish, or disclose them except as allowed by these Terms. NexPCB is responsible for requiring authorized personnel and service providers to protect Customer Files consistently with their role and applicable law.
4. Permitted purpose and service providers
The permitted purpose is to receive and unpack the submission, identify and analyze files, generate the requested PCBA cost estimate, secure and troubleshoot the Service, respond to your requested follow-up or formal-quotation request, and maintain necessary legal and operational records.
NexPCB may use infrastructure, file-extraction, automated-analysis, component-pricing, PCB-pricing, customer-contact, and other technical service providers for that purpose. Original archives and file binaries are handled and stored within the Singapore-hosted Service environment.
AI and pricing providers receive only the limited extracted text snippets or structured technical and purchasing data reasonably necessary for their task. Known personal data is removed or minimized before those requests. Original archives, original file binaries, upload URLs, and download links are not sent to AI or pricing providers. NexPCB will not authorize service providers to use Customer Files for an unrelated purpose, including training a general-purpose model for the provider's independent benefit.
If you request project help or a reviewed quotation, the customer-contact provider receives your business contact details, request details, and a protected internal record link. The original engineering package and downloadable result file are not sent through that contact request.
5. Ownership and limited permission
You retain all ownership and intellectual-property rights in Customer Files. You grant NexPCB only the limited, non-exclusive right needed to copy, transmit, extract, analyze, and temporarily store Customer Files for the permitted purpose. No patent, copyright, design, trade-secret, trademark, manufacturing, or other commercial license is granted.
6. Security and incidents
NexPCB will restrict administrative access, apply safeguards appropriate to the sensitivity of engineering files, and take reasonable steps to contain and investigate a confirmed unauthorized disclosure. If a confirmed incident materially affects Customer Files, NexPCB will notify the business contact provided with the submission without undue delay where required by applicable law, unless law enforcement validly restricts notice. No internet service can guarantee absolute security.
7. Required disclosure
If NexPCB is legally compelled to disclose Customer Files, it may disclose only the portion legally required. Where lawful, NexPCB will give prompt notice so that you may seek protective treatment and will reasonably cooperate at your expense.
8. Retention and deletion
Original uploaded packages are scheduled for deletion after 7 days. Temporary extracted files are removed through the Service's processing and cleanup workflow. Online analysis files and results are retained for up to 30 days unless you request a formal quotation or applicable law requires longer retention. Backup copies may remain until overwritten through the ordinary backup cycle and remain protected while retained.
NexPCB may retain limited submission metadata, cryptographic file hashes, contact details, acceptance records, and records needed for security, compliance, disputes, or the customer relationship. Those retained records remain subject to applicable confidentiality and privacy obligations.
9. Duration and remedies
These Terms apply from electronic acceptance. The confidentiality obligations for each submission continue for five years after upload. For information that qualifies as a trade secret under applicable law, the obligations continue for as long as it remains a trade secret. Unauthorized use or disclosure may cause harm for which monetary damages are insufficient, so either party may seek available injunctive or equitable relief.
10. Standard online terms
The automated Service is offered only under these standard Terms and does not provide a workflow for customer-specific NDAs. Customer-provided NDAs, confidentiality legends, purchase-order terms, or other terms submitted in or with Customer Files are not accepted through the Service and do not amend these Terms. If these Terms are not acceptable, do not use the Service.
11. Hosting, service providers, and personal data
Customer Files and core Service data are stored on infrastructure located in Singapore. Approved customer-contact, analysis, and pricing providers may process only the limited data described above in locations where they operate. These Terms protect the confidentiality of Customer Files. Personal data within a submission is separately governed by the Privacy Notice and applicable data-protection law. Do not include unnecessary personal data.
You represent and warrant that you have obtained all consents and authorizations necessary for the processing and transfer of personal data contained in Customer Files as contemplated by these Terms. If these Terms and the Privacy Notice conflict with respect to personal data, the Privacy Notice controls.
12. Export control
You represent and warrant that the uploaded files and their use in the Service do not violate applicable export-control, sanctions, or trade-restriction laws. Do not upload restricted files without the required authorizations and prior written notice to NexPCB.
13. Electronic agreement and records
You consent to contracting electronically. Your acceptance through the check box constitutes your electronic signature and has the same legal effect as a manual signature. NexPCB may retain the accepted document versions, acceptance time, business email, file name and hash, IP address, and browser information as evidence of the transaction. You may print or save these Terms before submitting. Updates apply only to submissions accepted under the updated version and do not retroactively change an earlier submission.
14. Governing law and forum
These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules. Any action arising from these Terms must be brought in the courts of Singapore, except that either party may seek urgent protective relief in any court with competent jurisdiction. This clause does not exclude mandatory, non-waivable protections that applicable European or other law requires.
15. Relationship to other terms
These Terms control over general website terms only for the confidentiality, permitted use, and retention of Customer Files submitted to this Service. The Estimate Terms govern the cost estimate and Service limitations. A later written manufacturing, quotation, or services agreement governs that later engagement and may replace these Terms for files covered by it.
16. Contact and severability
If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions remain effective. Questions about these Terms may be sent to info@nexpcb.com.
